01The value chain

The Players

Every used car an independent sells passes through the same chain: source it → fund it → recondition and value it → list and advertise it → finance the sale and its add-ons - with regulators and trade bodies around all of it. An independent forecourt touches every link itself; a consolidated incumbent owns or rents most of them. That ownership of the rails is the story below. Each dossier is sourced; where a figure isn't yet public, we leave it out.

02Dossiers

Auto Trader

List & advertise - the toll on getting a car seen.

  • Retailer revenue: £501.1m
Source: Auto Trader FY26 results, 29 May 2026
What it means for the independent

Usually the single biggest line in a forecourt's marketing budget, and the one link with no real substitute. The price keeps rising even as the number of forecourts falls - pricing power visible in audited numbers.

Constellation Automotive Group

owner: TDR Capital; brands: BCA, We Buy Any Car, cinch, Marshall, Aston Barclay, 10.1% of Vertu

  • April 2025 refinance: £1.3bn unitranche + £240m RCF; net debt cut ~27%; £548m new shareholder investment
    Source: Octus/Reorg; IFR
What it means for the independent

Profitable at the coalface (fees on dealers, buying the public's cars first) but heavily leveraged at group level. It can see and price your supply while competing for the sale - supplier and rival at once.

Cox Automotive UK

brands: Manheim, NextGear Capital, Dealer Auction, Modix/eVA, Movex

Position in the chain

Fund + wholesale - the rail beneath sourcing and stocking finance.

Figures
  • NextGear Capital: 4,000+ dealers funded, £8bn+ funded to date, 70+ partners
    Source: Cox Automotive UK; AM-Online
  • Dealer Auction: a Cox 51% / Auto Trader 49% joint venture, profitable
    Source: Auto Trader interims; Cox
What it means for the independent

Sits on the funding and wholesale links - floor-plan stock or buy at Manheim and you pay Cox to both source and fund. Note Auto Trader owns 49% of Dealer Auction: the advertising toll clips the wholesale buy-side too.

AThe listing & advertising rivals

Motors.co.uk → Cazoo

owner: O3 Industries / Novum Capital

Position in the chain

List & advertise - the nearest alternative to Auto Trader.

Figures
  • Acquired the Cazoo brand for £5m; rebranding from Motors.co.uk to Cazoo (~27 May 2026)
Source: AIM Group; Car Dealer Magazine
  • FY2024 revenue: £49.9m - note: largely reflects a Gumtree account migration, not organic growth
    Source: AIM Group; Companies House
  • FY2024 pre-tax profit: £621k - first profit in five years
    Source: AIM Group; Companies House
What it means for the independent

A credible second listing platform, but the audience gap versus Auto Trader remains large - which is why Auto Trader retains its pricing power. The Cazoo rebrand may improve consumer recognition; worth monitoring.

Brief note (no full dossier - no verified figures available): CarGurus (UK) and Gumtree/eBay Motors operate in this market at smaller scale. No figures are published for their UK operations; they are not included here until sourced.
BThe data, valuation & DMS rails

Cap HPI

owner: Solera

Position in the chain

Value - the dominant used-car valuation and provenance database.

Figures

No financial figures yet sourced - omitted. (Source: Solera)

What it means for the independent

The pricing guide most dealers and lenders use is owned by a US software group. The data you value stock against is a product sold back to you. (Source: Solera)

Glass's / Autovista

owner: J.D. Power - acquired Mar 2024

Position in the chain

Value - the second major valuation guide.

Figures

No separate UK financial figures yet sourced - omitted. (Source: J.D. Power)

What it means for the independent

Pinewood Technologies plc

major shareholder: Lithia Motors ~26%

Position in the chain

Run - the operating system for a large share of UK dealerships.

Figures
  • FY2025 revenue: £40.5m
    Source: Pinewood Technologies plc FY2025
  • FY2025 pre-tax profit: £8.8m
    Source: Pinewood Technologies plc FY2025
  • Lithia Motors (US): ~26% shareholding
    Source: Pinewood Technologies plc
What it means for the independent

The DMS many dealers run on is quarter-owned by a US auto-retail giant with its own distribution ambitions.

Dragon2000

Position in the chain

Run - DMS and lead management for independent dealers.

Figures
  • 1,000+ independent dealers using the platform
    Source: Dragon2000
What it means for the independent

The principal DMS built for independents. No large-group ownership currently - one of the few rail providers that is independent-dealer-focused.

Google Vehicle Listings (UK)

Position in the chain

List & advertise - a free, organic listing surface via Google Business Profile and paid Search ads.

Figures
  • UK open beta: 2025
    Source: Google; AIM Group
What it means for the independent

A rent-free listing surface backed by Google's search audience. Organic listings cost nothing beyond setup. Paid ads add reach. Actual UK lead volume is not yet publicly confirmed - a figure to watch.

CThe finance & add-on link - regulation in motion

Motor finance commission - regulatory timeline

Position in the chain

Finance the sale - a structural repricing of the dealer's second profit pool.

This is market context only - nothing on this page constitutes financial or legal advice.

Figures
  • Discretionary commission arrangements (DCAs) banned: January 2021
    Source: FCA
  • Court of Appeal ruling (broader commission disclosure): 25 October 2024
    Source: CoA
  • UK Supreme Court ruling: 1 August 2025 - no general fiduciary duty, but upheld s.140A unfair-relationship claim; example redress £1,650.95 = 55% of credit charge
    Source: UK Supreme Court
  • FCA redress scheme (PS26/3): published 30 March 2026; estimated ~£8.2bn total (~£7.5bn to consumers); covers 12m+ agreements; implement by 30 Jun / 31 Aug 2026
    Source: FCA PS26/3
  • Lender provisions to date: Lloyds £1.95bn · Santander £640m · Barclays £325m · Close Brothers £300m · BMW £200m
    Source: company results; press
  • GAP insurance: sales suspended 9 Feb 2024; resumed 24 May 2024 at lower commission
    Source: FCA
What it means for the independent

Commission income on arranged finance is being compressed - lower, capped, more disclosed - with clawback and indemnity risk flowing up the chain. This is a structural squeeze on the dealer's second profit pool at the same time as the metal margin runs at around 1%.

DThe regulators

Competition and Markets Authority (CMA)

Position in the chain

Around the whole chain - merger oversight and competition enforcement.

Figures
  • Constellation / Aston Barclay: referred to Phase 2 in-depth investigation 14 October 2025 (auction-market concentration)
    Source: CMA; Motor Trader
  • CMA merger-regime consultation: opened February 2026
    Source: CMA
What it means for the independent

The regulator is independently investigating whether Constellation's grip on the auction link harms competition. A credible third-party anchor for the concentration argument - and a potential source of structural relief.

Financial Conduct Authority (FCA)

Position in the chain

Finance the sale - conduct regulator for consumer credit and add-ons.

Figures

See motor-finance timeline above (Group C).

What it means for the independent

Owns the rules for how dealers can arrange and earn on finance. The current redress programme is the most significant regulatory intervention in the dealer's profit structure in a generation.

EThe retail challengers

The online retail challengers - the record so far

Position in the chain

Retail - direct-to-consumer used-car sales.

Figures
  • Cazoo: peak valuation >£5bn; administration May 2024; ~£259m owed vs ~£43m realisable; brand sold to Motors.co.uk for £5m
    Source: press; AIM Group
  • heycar (UK): VWFS-backed; UK operation closed ~Jun/Jul 2025
    Source: press; Car Dealer Magazine
  • Carwow: acquired Wizzle; raised ~£52m; revenue +56% H1-2024
    Source: press; Carwow
  • Carzam: collapsed May 2022
    Source: press
What it means for the independent

The capital-heavy “buy, hold, retail it yourself” model has repeatedly failed. The survivor (Carwow) operates as a marketplace/lead model - no metal held. Asset-light distribution outperforms asset-heavy retail, which is the same logic behind an exchange over a new marketplace.

FThe trade bodies: the missing middle

Most of the chain above is owned or governed by large outside groups. What represents the independent dealer in the middle? Almost nothing - and that gap is quantifiable.

BodyWho it actually servesScale
NFDAFranchised dealers only-
RMI / RMIFAll members, but no independent-retailer division~8,800 members
IMIIndividual technicians/professionals (skills, not businesses)-
VRAVehicle remarketing sellers-
IMDAIndependent dealers - the only body that does1,500+ members

Sources: NFDA; RMI; IMI; VRA; IMDA; IBISWorld 2026; JS Management / AutoSites.

The UK has approximately 8,583 independent used-car dealers (JS Management / AutoSites; IBISWorld 2026). IMDA's 1,500+ members represent roughly 17% of that base. The remaining ~83% have no representative institution - no collective benchmarking, no exchange, no shared buying power, no lobbying voice. This is the gap a collective fills.

03The loop

What the chain costs an independent.

Insight
Most of the chain an independent depends on is owned or rented by a few consolidated players.
Implication
That is why the metal margin is thin and the pricing power sits elsewhere.
What it costs you
The advertising link alone runs about £35,940 per forecourt per year (Auto Trader FY26). For a fraction of that, the tool gives back operating leverage the chain takes.
